ValidOrbit Ltd is an IT consultancy. We provide consultancy, solution architecture, implementation and related professional services to our clients, including free introductory consultation calls and paid consultancy projects.

Free consultation calls are provided for general discussion and to help establish whether our services are a suitable fit for your needs. They're provided without warranty of any kind and don't constitute formal professional, technical, legal, financial or business advice. A free consultation call doesn't create any binding commitment or contractual relationship between you and us, and nothing said on such a call should be relied upon as a formal recommendation until a signed engagement is in place.

Paid work is carried out under a separate services agreement or statement of work agreed between you and us. Where a separate agreement exists, it governs the specific engagement and takes precedence over these terms to the extent of any conflict. These terms govern general use of the website and any matters not addressed in a signed agreement.

Online terms

By agreeing to these terms, you represent that you're at least the age of majority in your jurisdiction of residence, or that you've given us your consent to allow any of your minor dependents to use this site.

Payment for consultancy work is ordinarily made by invoice following a consultation and a signed agreement, on the terms set out in that agreement.

You agree to provide current, complete and accurate billing and account information where requested, and to promptly update it, including your email address, so that we can complete transactions and contact you as needed.

Optional tools

We may give you access to third-party tools over which we neither monitor nor have any control or input. We provide access to such tools "as is" and "as available", without any warranties, representations or endorsement, and we have no liability arising from your use of them.

Any use of optional tools offered through the site is entirely at your own risk and discretion, and you should make sure you're familiar with the relevant third-party provider's own terms.

We may, in the future, offer new services or features through the website. Such new features and services are also subject to these terms.

In no case shall ValidOrbit Ltd, our directors, officers, employees, affiliates, agents, contractors, or service providers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages of any kind — including lost profits, lost revenue, lost savings or loss of data — arising from your use of the service or any services procured using it, even if advised of their possibility. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that can't be excluded or limited under the laws of England and Wales. Where liability can't be excluded but can be limited, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend and hold harmless ValidOrbit Ltd and our affiliates, officers, directors, agents, contractors, licensors, service providers and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these terms or your violation of any law or the rights of a third party.

Severability

If any provision of these terms is found to be unlawful, void or unenforceable, that provision will still be enforceable to the fullest extent permitted by law, and the unenforceable portion will be severed from these terms. This won't affect the validity and enforceability of the remaining provisions.

Termination

Obligations and liabilities incurred prior to termination survive the termination of this agreement. These terms remain effective unless and until terminated by either you or us. You may terminate them at any time by notifying us that you no longer wish to use our services, or by ceasing to use our site.

If, in our sole judgement, you fail or we suspect you've failed to comply with any term of these terms, we may terminate this agreement at any time without notice. You'll remain liable for all amounts due up to and including the date of termination, and we may deny you access to our services or any part of them.

Entire agreement

Our failure to exercise or enforce any right or provision of these terms won't constitute a waiver of that right or provision.

These terms, together with any policies or operating rules we post on this site, constitute the entire agreement between you and us regarding your use of the website, superseding any prior agreements, communications or proposals between you and us on the same subject. This doesn't affect any separate signed services agreement, which governs the specific engagement it relates to. Any ambiguities in the interpretation of these terms won't be construed against the drafting party.

These terms, and any separate agreement under which we provide you services, are governed by and construed in accordance with the laws of England and Wales, and you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
